Terms of Use Guru Flow Management GmbH (“Guru Flow Management GmbH”) for app design solutions

1. Scope of application

1.1. Guru Flow Management GmbH provides software tools and services for creating and customizing mobile apps based on existing websites.

1.2. These Terms of Use are the exclusive basis for the use of the App design from Guru Flow Management GmbH. Different user conditions only apply if Guru Flow Management GmbH has expressly agreed to them.

1.3. Individual agreements made between Guru Flow Management GmbH and the user take precedence over these terms of use.

2. Service description

2.1. Users have the option of receiving mobile apps with the service from Guru Flow Management GmbH; these are ordered against payment of an ongoing subscription.

2.2. Individual adjustments to the created app are not part of the standard range of services. However, such adjustments may be made upon request and at the discretion of Guru Flow Management GmbH.

2.3. The submission of the apps to online stores such as the Apple App Store and Google Play is carried out by Guru Flow Management GmbH. If the app is rejected, there is no right to a refund of the fees. However, Guru Flow Management GmbH offers supportive advice if the user needs it.

3. Conclusion of contract and right of withdrawal

3.1. A contract is concluded when the user places an order and Guru Flow Management GmbH confirms it.

3.2. The user's order requires the complete and truthful provision of all requested information. By paying, the user confirms that the order is binding.

3.3. Guru Flow Management GmbH reserves the right to reject orders if the user's website is unsuitable for the creation process or if there is suspicion of illegal content.

4. Functionality of the software

4.1. The service from Guru Flow Management GmbH enables the automatic conversion of an existing website into a mobile app, provided certain technical requirements are met. Other optional features, such as password protection, can be added.

4.2. When you start the app, a connection is established to the Guru Flow Management GmbH servers and the app can receive push notifications. Without this connection, limited functionality and outdated settings are possible.

4.3. The website content can be used directly in the app via an integrated browser.

4.4. The user is responsible for checking the functionality of the app. Unforeseen functions or errors can be reported to support. However, Guru Flow Management GmbH is not obliged to make adjustments.

4.5. The number of users who can use the app is limited depending on the tariff.

5. Prices and payment methods

5.1. The prices listed on the Guru Flow Management GmbH website apply. These include statutory sales tax, although customers abroad may be exempt from this.

5.2. Apps can be purchased through a subscription. The scope of services included varies depending on the tariff selected.

5.3. It is possible to switch between subscriptions, but any fees already paid under the subscription will not be credited towards the original payment.

5.4. Upon termination of a subscription, access to the app will be disabled and further use will not be permitted.

5.5. The price of the app covers the server costs, but does not cover special services such as the development of specific functions, which can be ordered separately.

5.6. The app will be made available after receipt of payment.

6. Updates and adjustments

6.1. Guru Flow Management GmbH may update the software as necessary to respond to changing requirements. Certain updates may be subject to a charge unless otherwise specified in the contract.

6.2. Adjustments and settings that do not require a software update can be made by the user at any time free of charge.

6.3. Guru Flow Management GmbH is not obliged to adapt the software to changed operating system requirements or app store guidelines.

7. Copyright and License Use

7.1. The user receives the app in a usable but not changeable form for publication in the relevant app stores. There is no entitlement to transfer of the source code.

7.2. The use of the app by the customer takes place within the framework of the contractually agreed license rights. The user must ensure that the necessary usage rights are available for all content in the app.

8. Warranty and Customer Support

8.1. The user can claim the statutory warranty rights in the event of defects that occur during the creation of the app and cannot be traced back to the user's website.

8.2. Subsequent changes to the website that affect the functionality of the app do not give rise to a warranty claim.

9. Limitation of Liability

9.1. To the extent legally permissible, the liability of Guru Flow Management GmbH is limited to the amount paid by the user.

9.2. Guru Flow Management GmbH is not liable for indirect damages such as lost profits or loss of data.

10. Final provisions

10.1. The law of the Republic of Austria applies to these terms of use.

10.2. The place of jurisdiction is the headquarters of Guru Flow Management GmbH.

Minimum commitment time

The contract is concluded for an indefinite period of time. The minimum term is 12 months. Ordinary termination is excluded during the minimum term. After the minimum term has expired, the contract can be terminated by either party with three months' notice at the end of a quarter.

Special variant: annual payment, is discounted and is contractually agreed upon by an automatically rolling annual minimum commitment period. The contract can be terminated by either party with three months' notice at the end of a contract year.

Extraordinary termination is possible at any time for good cause. Such an important reason exists in particular in the event of a serious breach of contractual obligations.
